Introduction

This Distance Sales Agreement (Mesafeli Satış Sözleşmesi) (the “Agreement”) applies to orders placed through the retail channel of the website elisabettazanardi.com (the “Site”). The Buyer and order details in the Agreement are filled in by the Site specifically for your order. When this page is opened from the link at the payment step, the products and amounts in your cart appear filled in with the cart information. The text you accept at the moment of confirmation is stored in the order record as filled in for the order, and is sent to your e-mail address with the order received confirmation. In this Agreement, expressions such as “you” refer to the Buyer.

Article 1: Parties and scope

1.1. Seller

Seller: ENVERO TEKSTİL SANAYİ VE TİCARET LİMİTED ŞİRKETİ. Address: Mimar Kemalettin Mah. Kızıltaş Sk. Tekcan İş Hanı No: 5 İç Kapı No: 401 Fatih / İstanbul. MERSİS no. Professional chamber: İstanbul Ticaret Odası (İTO) (Istanbul Chamber of Commerce); the Seller is not bound by any code of conduct and has no alternative dispute resolution mechanism.

The seller side of the Agreement is referred to in this Agreement as the “Seller”. “Elisabetta Zanardi” and “zanardi” are names the Seller uses on the Site; information on trademark ownership is in the Terms of Use and Sale (Kullanım ve Satış Koşulları).

1.2. Buyer

The person placing the order is referred to in this Agreement as the “Buyer”.

  • Name and surname: (ödeme adımında girilen / as entered at checkout)
  • Address (billing address): (ödeme adımında girilen / as entered at checkout)
  • Delivery address: (ödeme adımında girilen / as entered at checkout)
  • E-mail: (ödeme adımında girilen / as entered at checkout)
  • Telephone: (ödeme adımında girilen / as entered at checkout)

1.3. Scope. This Agreement applies to orders placed through the retail channel of the Site. Anyone who places an order through the retail channel is regarded as a consumer, even if purchasing for commercial or professional purposes, and benefits from the rights in this Agreement. The Buyer being in Türkiye or abroad does not change this. The Buyer may place an order with or without opening an account on the Site.

1.4. Wholesale sales. Traders and businesses buying at wholesale (“Wholesale Buyers”) use separate wholesale customer accounts opened on application and with the Seller’s approval. Wholesale purchases are commercial sales under the 6102 sayılı Türk Ticaret Kanunu (Turkish Commercial Code No. 6102) and are subject to the wholesale provisions of the Terms of Use and Sale. This Agreement and the Pre-Information Form do not apply to these purchases; the statutory right of withdrawal granted to consumers also does not exist in these purchases. The rights arising from consumer legislation are reserved for an order placed with a wholesale account but for purposes other than commercial or professional ones.

Article 2: Definitions

  • Pre-Information Form: The information text presented to the Buyer at the payment step before the contract is formed, together with a summary containing the order details, and separately confirmed by the Buyer.
  • Goods: The clothing products that are the subject of this Agreement.
  • Order currency: The currency in which the order is placed and which is shown in the order summary at the payment step (TRY). The currency to be charged to the Buyer’s card is determined under Article 4.
  • Durable medium: E-mail, text message and similar means that enable information to be recorded, stored unaltered and displayed again in identical form.
  • Return carrier: The carrier by which your order was sent to you, to be used for returning the goods when the right of withdrawal is exercised. The name of the carrier is given in the order confirmation and in the shipment tracking e-mail.
  • Right of withdrawal: The Buyer’s right to withdraw from the contract, within the period stated in Article 10, without giving a reason and without paying a penalty.
  • Business day: In this text, “business day” means days other than Saturdays, Sundays and official holidays in Türkiye. This definition applies only to periods the Seller itself undertakes; it does not change the calculation of periods set by law.

Article 3: Subject of the contract, goods and price

3.1. The subject of this Agreement is the sale and delivery of the goods in the following order placed by the Buyer through the Site, and the rights and obligations of the parties under the 6502 sayılı Tüketicinin Korunması Hakkında Kanun (Consumer Protection Law No. 6502) and the Mesafeli Sözleşmeler Yönetmeliği (Distance Contracts Regulation).

  • Order number: (ödeme adımında girilen / as entered at checkout)
  • Order date: (ödeme adımında girilen / as entered at checkout)

3.2. Goods (product name, size, colour, quantity, unit price and line amount before any discount is applied; the discount applied is shown separately in Article 3.3):

(ödeme adımında girilen / as entered at checkout)

The main characteristics, descriptions and images of the goods are on the relevant product page and in the Pre-Information Form. The origin of the goods is Türkiye (Made in Türkiye); the fabric composition is stated on the relevant product page.

3.3. Price

  • Subtotal (before discount): (ödeme adımında girilen / as entered at checkout)
  • Discount: (ödeme adımında girilen / as entered at checkout)
  • Shipping charge: (ödeme adımında girilen / as entered at checkout) (the shipping charge is included in the product prices; Article 3.4)
  • Total: (ödeme adımında girilen / as entered at checkout)
  • Order currency: TRY
  • Payment method: (ödeme adımında girilen / as entered at checkout)

Product prices are shown on the Site in US dollars (USD), euros (EUR) or Turkish lira (TRY); you choose the currency with the currency selector on the Site. The cart, the payment step and the order are shown in the currency you choose, and your order is placed in that currency; the currency of your order is shown in the order summary at the payment step. In retail orders, payment is made by card, in a single instalment, on the bank’s 3-D Secure page through the Denizbank virtual POS. The amount in the order currency is charged to your card: Turkish lira in TRY orders, and the amount in that currency in USD or EUR orders. The only exception is this: if your delivery address (your billing address if there is no separate delivery address) is in Türkiye and you placed your order in USD or EUR, the order total is converted into Turkish lira at the selling rate of the TCMB (Türkiye Cumhuriyet Merkez Bankası, Central Bank of the Republic of Türkiye) and Turkish lira is charged to your card; the Seller adds no margin to this rate. In this case, the Turkish lira amount to be charged to your card and the rate applied are shown on a confirmation screen before you proceed to the bank’s payment page; you proceed to payment only after you confirm this screen. The products specific to your order, unit and line prices, any discount, shipping and the total amount are shown at the payment step before the “Siparişi onayla ve öde / Confirm order and pay” button. If your card is in a different currency, the institution that issued your card makes the conversion under its own terms; that institution’s exchange rate or transaction fee practices are not under the Seller’s control.

For products shown as discounted, the previous price shown is the lowest price applied in the last 30 days before the date on which the discount was applied; the Seller documents this price with a dated price history record.

3.4. Shipping charge. In retail orders the shipping charge is included in the product prices; no separate shipping charge is made to you, whatever the order amount and the country of delivery. Shipments within Türkiye and to countries other than Russia and Belarus are made with DHL Express or UPS. Retail shipments to Russia and Belarus are made with a private carrier the Seller has agreed with. The name of the carrier transporting your order is given in the order confirmation and in the shipment tracking e-mail. The countries to which shipments are made are shown in the country list at the payment step; orders can be placed only to these countries.

3.5. No deposit or similar financial guarantee is requested from the Buyer.

3.6. After the contract is formed, the price, the terms of the contract and the characteristics of the goods cannot be changed unilaterally by the Seller to the Buyer’s disadvantage. Obvious price error: If the price of a product is shown on the Site as clearly different from its true price because of a typing or system error that would be obvious to everyone, when the Seller notices it, the Seller notifies you without delay, in writing or by durable medium, before dispatching the product. This article applies only to objectively obvious errors; ordinary price differences, campaigns and discounts are not regarded as errors. Your order is not cancelled automatically and its price is not changed unilaterally. The choice between continuing the order at the correct price or having it cancelled and receiving back the entire amount collected is yours. Continuing at the correct price is possible only with your express acceptance; if you do not accept, the order is cancelled and the entire amount collected is refunded without delay to the card you used for payment.

3.7. Invoice. The Seller issues the invoice for the sale with the information the Buyer gave in the order. The invoice is delivered to you on paper inside the parcel.

Article 4: Payment, currency and the amount charged to the card

4.1. The only payment method accepted in retail orders is payment with a credit or debit card accepted by the Denizbank virtual POS. No other payment method, such as bank transfer (havale), EFT or cash on delivery, is offered.

4.2. Payment is made on the bank’s 3-D Secure secure payment page connected to the virtual POS of Denizbank A.Ş. through the Seller’s order management system UNALSOFT Panel. Card details are entered only on this bank page. The full card number, expiry date and security code do not reach the Site, the Seller’s servers or UNALSOFT Panel; the Seller does not see or store them.

4.3. Payment is taken in a single instalment; no instalments apply. The amount that can be charged to your card in a single transaction is limited to TL 200,000 (Turkish lira) or its equivalent in the order currency at the TCMB rate (in USD or EUR orders, the Turkish lira equivalent of the order total, converted at the TCMB rate, cannot exceed TL 200,000). If you want to place an order exceeding this amount, you must write to info@elisabettazanardi.com or to the WhatsApp line shown on the Site. In that case, the payment method is agreed separately with you, and a Pre-Information Form specific to that order is presented to you separately before payment; the contract is not formed and no amount is collected from you until payment is completed.

4.4. Currency and the amount charged to the card. The price and exchange rate information in Article 3.3 applies to this article as it stands. The amount in the order currency (USD, EUR or TRY) is charged to the Buyer’s card. In orders placed in USD or EUR with a delivery address (the billing address if there is no separate delivery address) in Türkiye, the order total is converted into Turkish lira (TL) at the selling rate of the TCMB and TL is charged to the Buyer’s card; the Seller adds no margin or additional fee to this rate. The order remains in the currency in which it was placed on the Site.

4.5. In USD or EUR orders with a delivery address in Türkiye, the TL amount to be charged and the rate applied are shown on a confirmation screen before the Buyer is redirected to the bank’s payment page; the Buyer proceeds to the bank’s payment page only after confirming this screen and enters card details only on that page.

4.6. The amount the Buyer pays is the amount shown at the payment step and, in orders converted into Turkish lira, on the confirmation screen. No more than this amount is charged to the Buyer’s card. The Seller does not request any payment above this amount without the Buyer’s separate and express consent.

4.7. The bank that issued the Buyer’s card may, under its own rules, apply an additional exchange rate difference, foreign transaction fee or commission. These practices are not under the Seller’s control and depend on the terms of the institution that issued the card.

Article 5: Pre-Information Form and formation of the contract

5.1. The Pre-Information Form is an integral part of this Agreement. Unless the parties expressly agree otherwise, the information in the Pre-Information Form cannot be changed.

5.2. Before placing the order, the Buyer sees the goods, sizes, colours, quantities, shipping information, total amount and order currency, and address and contact details in the cart and payment steps; for USD or EUR orders with a delivery address in Türkiye, the Buyer sees the TL amount to be charged and the rate on the confirmation screen before the bank’s payment page. The Buyer can check and correct these before confirming the order.

5.3. Formation of the contract. At the payment step the Buyer ticks (a) the mandatory box showing that the Buyer has read and confirmed the Pre-Information Form and (b) separately from it, the mandatory box showing that the Buyer accepts this Agreement; these two confirmations are separate from each other. These confirmations do not mean explicit consent to the processing of personal data or consent to commercial electronic messages. Pressing the “Siparişi onayla ve öde / Confirm order and pay” button transmits your order to the Seller as an order creating an obligation to pay. The contract is formed at the moment your card payment is approved by Denizbank. If the payment is not completed, the contract is not formed, your order is not processed, no payment debt arises for you and no amount is collected from you. When your payment is approved, the receipt of your order is shown on the Site and an order received confirmation is sent to your e-mail address without delay; with this e-mail, the Pre-Information Form and the Distance Sales Agreement you confirmed are sent to you filled in specifically for your order. The order received confirmation does not change the moment at which the contract is formed.

Article 6: Delivery

6.1. The goods are sent from the Seller’s logistics centre in Laleli, Istanbul and delivered to the delivery address in Article 1.2.

6.2. Shipping charge and carrier.

6.3. Preparation and delivery time. Your order is prepared and handed to the carrier within 4 business days at the latest from the date the contract is formed (your payment is confirmed). When it is handed to the carrier, the tracking number is notified to you by e-mail. Transport time varies according to the country of delivery and the carrier. In every case your order is delivered without exceeding the statutory maximum of 30 days from the date the order reaches the Seller. If delivery is not made within this period, you may terminate the contract; in that case the whole amount you paid is refunded without delay to the card you used for payment. If a shorter period is promised on the Site or in advertisements, that period applies.

6.4. Countries shipped to. Because of sanctions, the Seller does not sell or ship to Iran, Syria, North Korea and Cuba. The countries to which shipments are made are shown in the country list at the payment step; orders can be placed only to these countries.

6.5. The Seller notifies the Buyer of the shipment’s tracking number by e-mail.

6.6. The goods are delivered to the Buyer or to a third party designated by the Buyer. Handing the goods to the carrier is not regarded as delivery to the Buyer.

6.7. Delay. If the goods are not delivered within the statutory maximum of 30 days from the date the order reaches the Seller (or, if a shorter delivery period is promised on the Site or in advertisements, within that period), the Buyer may terminate the contract. In that case the Seller refunds all payments collected without delay to the card used for payment.

Article 7: Impossibility of delivery and out-of-stock

7.1. When the Seller learns that delivery of the ordered goods has become impossible, the Seller notifies the Buyer of this without delay, in writing or by durable medium (for example e-mail), and refunds all payments collected without delay to the card used for payment.

7.2. Out-of-stock. If it becomes clear that a product in your order is not in stock, we notify you without delay, in writing or by durable medium (for example e-mail). You decide which of these options applies: waiting for a new delivery date, accepting an alternative product if there is one, or asking for a refund of the amount you paid. No different product is sent to you and no new price is applied without your express acceptance. If you choose a refund, the amount collected for the product concerned is refunded without delay to the card you used for payment. A product being out of stock does not, of itself, remove the Seller’s obligation to deliver.

Article 8: Liability for loss and damage

8.1. The Seller is responsible for the loss of and damage to the goods until they are delivered to the Buyer or to a third party designated by the Buyer other than the carrier.

8.2. If the Buyer asks for the goods to be sent with a carrier other than the one chosen by the Seller, the Seller is not responsible for loss and damage occurring after the goods are handed to that carrier.

Article 9: Delivery outside Türkiye

9.1. Shipments to addresses outside Türkiye are made on a DAP (Delivered at Place) basis. Customs duty, import taxes and the carrier’s customs handling fees that may arise in the country of delivery are not included in the order price and are your responsibility; they are paid to the carrier at or before delivery. This is also expressly stated in the Pre-Information Form you confirm before placing your order. Not accepting the parcel does not, by itself, mean that you have exercised your right of withdrawal. When the Seller learns that the shipment could not be delivered, the Seller contacts you by e-mail and asks whether you want the shipment to be delivered to you again or whether you want to exercise your right of withdrawal. If you choose redelivery, the shipment is delivered to you again; no additional transport charge is made to you for this, and the taxes and costs of the destination country are yours. If you exercise your right of withdrawal, the amount collected is refunded to the card you used for payment within 14 days at the latest from the date your withdrawal notice reaches the Seller. If you do not reply to the Seller’s e-mail within 14 days and the shipment returns to the Seller, the amount collected is refunded to the same card within 14 days at the latest from the date the shipment reaches the Seller. The return transport cost and customs costs in the destination country are not deducted from the refund amount.

Article 10: Right of withdrawal

10.1. You have the right to withdraw from the contract within 14 days without giving any reason and without paying a penalty. The withdrawal period starts on the day the product is delivered to you or to the third party you have notified (other than the carrier). If your order is delivered in more than one parcel separately, the period starts on the day the last product is delivered. You may also exercise your right of withdrawal before the product is delivered. It is sufficient to direct your withdrawal notice to the Seller within the 14-day period. This article does not apply to Wholesale Buyers.

10.2. If the Seller has announced on the Site or in its advertisements a withdrawal or return period longer than the period in this article, or a return condition more favourable to the Buyer, the announced condition also applies.

10.3. Handing the goods to the carrier is not regarded as delivery to the Buyer.

Article 11: Withdrawal notice and return of the goods

11.1. Withdrawal notice. You may exercise your right of withdrawal by sending a notice clearly stating your decision to withdraw by e-mail to info@elisabettazanardi.com or by delivering it in writing to the address Mimar Kemalettin Mah. Kızıltaş Sk. Tekcan İş Hanı No: 5 İç Kapı No: 401 Fatih / İstanbul. Stating your order number in your notice speeds up the process, but it is not mandatory; nor is any particular form of notice required. When your notice reaches the Seller, it is recorded with the date of receipt, and its receipt is confirmed to you by e-mail without delay. This confirmation also contains the information you need to return the product.

11.2. It is sufficient for the notice to be directed to the Seller before the withdrawal period expires. The Sample Withdrawal Form annexed to this Agreement may be used optionally; using the form is not mandatory.

11.3. Return of the goods. When you exercise your right of withdrawal, you return the product to Mimar Kemalettin Mah. Kızıltaş Sk. Tekcan İş Hanı No: 5 İç Kapı No: 401 Fatih / İstanbul within 14 days from the date you sent your withdrawal notice, with the carrier by which your order was sent to you. The return is made with the carrier by which the order was sent; the name of the carrier is given in the order confirmation and in the shipment tracking e-mail. If you withdraw before the product is delivered to you and the product is nevertheless delivered to you, the 14-day return period starts on the day you receive the product. The return shipping cost is yours. The same rule applies to returns made from outside Türkiye. Your right of withdrawal does not depend on the product being tagged or in its original packaging, or on your sending photographs; it is sufficient that you pack the product so that it is not damaged in transit. This article relates only to the right of withdrawal; the cost of returning defective or wrongly sent products is borne by the Seller.

11.4. Ordinary use and loss of value. Examining and trying the product during the withdrawal period in a manner consistent with its nature and instructions for use (for example, wearing it to try its size and appearance) is ordinary use, and you are not responsible for changes arising from it. If a real loss of value occurs in the product as a result of your using it beyond this ordinary examination and trial, you may be liable only for this concretely determined loss of value and within the limits set by law. The burden of proving the existence and amount of the loss of value lies with the Seller; the Seller bases it on a concrete examination of the product and notifies you of it in writing with reasons. A loss of value is not automatically deducted from the refund amount, is not a condition for exercising the right of withdrawal and does not remove your right of withdrawal. The removal of the tag or the opening of the packaging is not, by itself, a loss of value.

11.5. When the right of withdrawal is exercised, additional contracts tied to this Agreement also end automatically, without creating any cost or compensation obligation for the Buyer.

11.6. No direct exchange. In retail orders, no direct exchange of products is made after delivery. If you want a different size or model, you can return the product under your right of withdrawal and place a new order. This rule does not affect your statutory rights in respect of defective or wrongly sent products.

Article 12: Refund

12.1. The Seller refunds the entire amount collected, in a single payment, within 14 days at the latest from the date your withdrawal notice reaches the Seller. The refund is made in the currency and amount actually charged to your card (the Turkish lira amount if Turkish lira was charged to your card, the amount in that currency if USD or EUR was charged) and to the card you used for payment; the Seller makes no deduction from this amount under the names of exchange rate difference, transaction fee or similar. The Seller transmits the refund to Denizbank within this period; the time it takes for the refund amount to show on your card account or statement depends on the institution that issued your card.

12.2. Partial withdrawal. You may exercise your right of withdrawal for only some of the products in your order. In that case, if a discount was applied to the order, the discount is deemed to be distributed over the products in the order in proportion to their prices, and the amount refunded to you is the price of the products you return after this distribution. Since shipping is free in retail orders, no shipping charge or shipping difference is requested from you for the remaining part of the order in a partial withdrawal.

Article 13: Exceptions to the right of withdrawal

13.1. No product falling within an exception to the right of withdrawal (for example, a product prepared at your request or according to your personal needs, personalised, or unsuitable for return for hygiene reasons) is sold on this site. You therefore have the right of withdrawal for every retail product sold on the Site.

Article 14: Defective goods and statutory rights

14.1. Goods that, at the time of delivery, do not conform to the agreed sample or model or do not have the qualities they objectively should have are defective. Goods that do not have one or more of the qualities stated on the product page, on the label, or in advertisements and announcements are also regarded as defective. The Buyer’s statutory rights are also reserved if wrong or incomplete goods are sent.

14.2. Defects appearing within 6 months from the date of delivery are presumed to have existed at the time of delivery. In that case the burden of proving that the goods are not defective lies with the Seller.

14.3. If the goods are defective, the Buyer may exercise one of the following options:

  • withdrawal from the contract (returning the goods and requesting a refund of the price),
  • a price reduction in proportion to the defect,
  • free repair,
  • replacement of the goods with a defect-free equivalent.

The Buyer chooses which right to use. Under Article 11 of Law No. 6502, the Seller is obliged to fulfil the right the Buyer has chosen.

14.4. A request for free repair or replacement is fulfilled within 30 business days at the latest from the date the request is directed to the Seller; otherwise the Buyer may exercise one of the other options. If withdrawal from the contract or a price reduction is chosen, the entire price paid or the amount of the reduction is refunded to the Buyer without delay. All costs relating to the exercise of the options are borne by the party fulfilling the right chosen by the Buyer. No shipping cost is requested from the Buyer for sending defective or wrongly sent goods to the Seller or for sending them again to the Buyer. In addition to these, the Buyer may also claim compensation under the provisions of the 6098 sayılı Türk Borçlar Kanunu (Turkish Code of Obligations No. 6098).

14.5. Claims arising from defective goods are subject to a limitation period of 2 years from the date of delivery of the goods, even if the defect appears later. This period does not apply if the defect was concealed by gross negligence or fraud.

14.6. The Buyer may notify the Seller of the defect through the channels in Article 17. The Seller may ask for photographs or for the goods to be sent, at the Seller’s expense, so that the defect can be understood. However, the Seller cannot make the Buyer’s statutory rights conditional on a short notice period or on photographs, cannot determine the option on behalf of the Buyer, and cannot decide alone whether the goods are defective. In the event of a dispute, the avenues in Article 19 are open.

Article 15: Additional charges and provisions protecting the Buyer

15.1. The Seller does not request any additional payment to which the Buyer has not separately and expressly consented. If a paid optional extra is offered, it is not offered pre-ticked. If such an amount has been collected without the Buyer’s express consent, it is refunded immediately.

15.2. The Seller does not charge the Buyer a fee for fulfilling obligations arising from law (for example, withdrawal, refund or defective goods procedures). That the return shipping cost is borne by the Buyer when the right of withdrawal is exercised is stated separately in Article 11.3.

15.3. No provision of this Agreement removes or limits the Buyer’s rights under Law No. 6502 and the relevant legislation. The Seller’s liability for the death or injury of the Buyer or damage to the Buyer’s property resulting from the Seller’s own act or omission is not limited.

Article 16: Force majeure

16.1. Force majeure means events such as natural disaster, epidemic, war, general strike or decisions of official authorities that arise outside the control of the parties, cannot be foreseen or prevented in advance, and also actually affect performance of the obligation; in such a case, notice is given to the Buyer without delay. Force majeure does not remove your rights to terminate the contract and recover the amounts you paid when the delivery period is exceeded, or your other mandatory rights arising from consumer legislation; refund obligations continue in this case as well.

16.2. If delivery cannot be made within the period in Article 6.7, the Buyer may terminate the contract under Article 6.7; if delivery becomes impossible, Article 7 applies.

Article 17: Notices, communication and complaints

17.1. You may send your requests and complaints about your order by e-mail to info@elisabettazanardi.com, to the telephone number +90 530 446 67 77, or in writing to Mimar Kemalettin Mah. Kızıltaş Sk. Tekcan İş Hanı No: 5 İç Kapı No: 401 Fatih / İstanbul. The Seller replies to your complaint within 3 business days at the latest. The Seller is not bound by any code of conduct and has no alternative dispute resolution mechanism.

17.2. The withdrawal notice is given in writing or by durable medium (e-mail or post). The Seller has no KEP address.

17.3. The Seller’s notices to the Buyer are made to the e-mail address the Buyer gave in the order and which appears in Article 1.2, and, where necessary, to the telephone number. The Buyer notifies the Seller if the contact details change.

17.4. The Seller does not charge the Buyer for contacting the Seller. The telephone line the Seller has given for communication about the contract (+90 530 446 67 77) is a mobile line at a normal tariff; it is not charged above the normal tariff.

Article 18: Personal data and commercial communication

18.1. The Seller is the data controller of the Buyer’s personal data. Personal data given for the order is processed in accordance with the 6698 sayılı Kişisel Verilerin Korunması Kanunu (Personal Data Protection Law No. 6698) and, if the Buyer is in the EU, the EU General Data Protection Regulation (GDPR), as explained in the Privacy Policy and KVKK Notice published on the Site (the “Privacy Policy”; elisabettazanardi.com/privacy-policy/).

18.2. The data needed to fulfil the order is shared with the service providers listed in the Privacy Policy. These are, in particular, the hosting service, the order management system (UNALSOFT Panel), the bank providing the card payment service (Denizbank A.Ş.), the e-mail service and the carriers. Because the server on which the Site is hosted and UNALSOFT Panel are in Germany (Frankfurt), this data is processed outside Türkiye; the basis for the transfer abroad is explained in the Privacy Policy. In deliveries outside Türkiye, delivery details are transferred to the carrier and to the customs authorities of the destination country so that the shipment can be made. The products in the cart and the cart total, and the name, e-mail and telephone details written at the payment step (address details are not part of this transfer; for a logged-in customer, the name, e-mail and telephone saved in the account are also transferred whenever the cart changes), are transferred to the order management system even if the order is not completed, and are deleted after 90 days at the latest; the purpose of this transfer is to detect and resolve technical problems at the payment step and to help you if you tell us that you could not complete your order; its legal basis is explained in the Privacy Policy.

18.3. Acceptance of this Agreement does not mean that explicit consent has been given to the processing of personal data or that consent has been given to sending the Buyer commercial electronic messages (campaign e-mails, SMS, etc.). Consent to commercial electronic messages is obtained separately and is optional; the Buyer may withdraw consent at any time. Sending a reminder (by e-mail or WhatsApp) for an incomplete cart also depends on this separate consent. Until registration is made in the commercial message management system (İYS, İleti Yönetim Sistemi), the Seller does not send commercial messages; during this period no cart reminders are sent either.

Article 19: Resolution of disputes and governing law

19.1. Turkish law applies to this contract. If you live outside Türkiye, your right to benefit from the mandatory consumer protection that the law of your country of residence gives you, and from the consumer remedies in that country, is reserved under the conditions set out in Article 26 of the 5718 sayılı Milletlerarası Özel Hukuk ve Usul Hukuku Hakkında Kanun (Law No. 5718 on Private International and Procedural Law); nothing in this text removes this protection.

19.2. The Buyer may first send the complaint to the Seller through the channels in Article 17. This is not a condition for the Buyer to use the following avenues of application.

19.3. In the event of a dispute, you may apply to the Tüketici Hakem Heyeti (Consumer Arbitration Committee) at your place of residence or the place where you made the consumer transaction, within the monetary limits announced every year by the Ministry of Trade, and to the Tüketici Mahkemesi (Consumer Court) in disputes exceeding these limits. Your right to use these avenues of application is not limited by any provision of this text.

19.4. This Agreement contains no jurisdiction or arbitration clause limiting the Buyer’s avenues of application and the competent places.

19.5. The Seller is not bound by any code of conduct and has no alternative dispute resolution mechanism.

Article 20: Evidence, records and retention of the contract text

20.1. In disputes, the Seller’s electronic records (the order record, the text of this Agreement and of the Pre-Information Form stored on the order at the time of confirmation, e-mail correspondence) may be used as evidence. This provision is not a binding evidence agreement and does not limit the Buyer’s right to prove by any kind of evidence.

20.2. The burden of proving that the pre-information was given and that the Buyer was informed about the right of withdrawal lies with the Seller.

20.3. For every transaction, the Seller keeps the information and documents concerning the right of withdrawal, information, delivery and its other obligations for at least three years. Since these records are part of the order record, they are kept together with the order record. Records that tax and commercial legislation require to be kept for longer (for example, the invoice) are kept for that period. Retention periods are explained in the Privacy Policy.

20.4. The text of this Agreement and of the Pre-Information Form, filled in according to the order, is stored in the order record as it stood at the time of confirmation and is sent to the Buyer with the order received confirmation. The Buyer can view, print and save this text from the e-mail. The language version shown at the time of the order is stored in the order record as it was confirmed and is sent with the order e-mail.

Article 21: Language, interpretation and relationship with other texts

21.1. This text is prepared in Turkish and the Turkish text prevails. The English and Russian translations are provided for information; the translations have not been reviewed by a lawyer or translator. If there is a difference between a translation and the Turkish text, the Turkish text prevails. The language version shown to you at the time of the order is saved to your order as you confirmed it and is sent to you with the order e-mail.

21.2. Provisions that are not clear or may have more than one meaning are interpreted in favour of the Buyer. The Seller cannot alone exercise the power to interpret the provisions of the Agreement.

21.3. Provisions that constitute unfair terms are absolutely void. The invalidity of one provision does not affect the validity of the rest of the Agreement. In matters not regulated in this Agreement, Law No. 6502, the Distance Contracts Regulation and the relevant legislation apply.

21.4. If there is a difference concerning a retail order between this Agreement, the Pre-Information Form, the Terms of Use and Sale and the Shipping and Returns page, the provision in favour of the Buyer applies; none of these texts limits the Buyer’s mandatory rights arising from consumer legislation.

Article 22: Entry into force and electronic confirmation

22.1. This Agreement is formed in the manner stated in Article 5.3 and enters into force at the moment it is formed.
